Board Meeting Minutes: March 2020

DAL Board Meeting Minutes: March 2020

Regular Board Meeting: Virtual Conference called by Lion Jeff, Minutes by Lion Jill
17 March 2020

6:30 meeting conference call begins.

Board Members Present: Jill, Jen, Jeff, Charles, Claire, Vijay, Al, Eli.

Approve Minutes, last board meeting: Jeff moves, Claire seconds, minutes approved unanimously.
Crab Feed: close to having it reconciled, close to $15,000.00.
2021 CF scheduled for 01/23/2021: Board has set the date. Volunteers and broadening the reach.
New Member Consideration/Approval: Ms. Sudha Kasamsetty, she resent the payment and app and those have now been received. Jeff motions we accept, Eli seconds the motion. Unanimously approved. Jeff is her sponsor and he will give her the overview and plans to make an effort to pull her in as well as the other new members that we don’t see at PM meetings.
Charter Night 2020 Postponed: Ray has been communicating with the restaurant and he says we are good. There was no deposit. When we can, we will reschedule.
Cupertino Earth Day 2020 (Sat. 04/18/2020) possibly postponed: it’s unknown if conditions will improve by then. Jeff will reach out to Joan and Dagi.
4c-6 Convention: Santa Maria (possibly postponed); if it’s not postponed, Al will be going down to represent. We have four votes, but at that distance it’s harder to send delegates.
2020-2021 Board: If this conference call system works, this may be the better way for the board to meet. We need a couple Lions to step into board positions. Jeff said Sudha was possibly interested. Eli said he could also continue if we needed him. We need to present the list three times, and if there are no objections or additional nominations, then the board approves. This needs to happen in time for the new board to be entered by April 15. Jeff will talk to a few people and then get the list to Jill. Jill will distribute three times.
2020 Golf Chair: We need to ask someone to take over the chair or co-chair. We have all the committees covered, we just don’t have a lead person. Would Ron Ahearn be interested? Could he co-chair with Ray? Eli and Al will talk to Ron and Ray. We do need a chair and we also need to recognize that this event may not even occur if the COVID measures are still in place.
Motion: Perpetual Fund Brokerage Account by Lion Al
Whereas: Article IV Section 6 establishes the Cupertino DeAnza Lions Charities, Inc. Perpetual Fund. Whereas: It has been brought to the Board’s attention that there is a possible significant donation proposed to our Perpetual fund in the form of stock holdings. Whereas: The Treasurer has advised that a proper brokerage account must be established in order to receive stock holdings even to the point the holdings would be sold within a short period of time. Resolved: The Board of Directors do hereby authorize the President and/or Treasurer to proceed with establishing a proper account providing for the custody of Perpetual Fund donations and the ability to receive gifted stock holdings and other financial instruments of value. And, restricting said account to the preservation of donations and utilization of interest and dividends to legitimate charitable endeavors. Seconded by Eli. Discussion: Sell right away or use advisor to help with each donation.Votes: Motion passed as written, no nays, no abstentions. Discussion on going about a policy with regards to selling or holding.
Donations to be made: Al will mail these organizations our donations:
Vista Center $2,500.00 to be mailed.
Youth Exchange Foundation $500.00 to be mailed.
West Valley Community Services to be mailed.
Fisher House $500.00 to be mailed.
American Diabetes Association $500.00 to be mailed. (R4D restricted account)
YMCA (youth programs) $1,000.00 to be mailed.
Brail Transcription $1,000.00 to be mailed.

Questions about these donations:
Student Speaker Fund (Foundation available) $700.00 for contest. (keep in fund)
Kathryn Hughes School $200.00 Annual BBQ. (keep in fund)
$5,000.00 in non-budgeted funds available. (keep in fund)

CCI: Chance to win $2,000.00 for charitable programs if we purchase Canine Companion Raffle tickets. We can purchase 25 tickets for $100.00, drawing is in September 2020. This is an extra amount beyond what we usually donate, so it would come out of the $5,000.00 we have remaining. Al makes a motion, Jeff seconds it. Discussion none. Vote: Motion passed.
